Thursday that a proposed memorandum of understanding with a \u201creputable Chinese entity\u201d has been terminated over concerns about legality and some recent actions taken by Zhang Zhencheng, who together with his two brothers controls the REIT\u2019s sponsor.<\/p>\n<p>Representatives of the trust, which owns and operates a portfolio of seven shopping malls across Guangdong province in mainland China, had gathered with lenders, key unitholders and the unnamed entity during a series of meetings last month to discuss terms of the MoU, <a href=\"https:\/\/links.sgx.com\/FileOpen\/DASINRT-Update%20on%20Progress%20of%20Restructuring-06072023.ashx?App=Announcement&amp;FileID=764516\">according to an SGX filing<\/a>.<\/p>\n<p style=\"text-align: center;\"><a data-no-instant=\"1\" representative of the trust\u2019s major unitholder gave his view that the transactions contemplated under the MOU \u201care illegal under Chinese law\u201d, while the entity \u201cexpressed its dissatisfaction\u201d at the actions taken by Zhang, who is <a href=\"https:\/\/www.mingtiandi.com\/real-estate\/people\/former-chairman-of-dasin-retail-trust-sues-head-of-audit-committee\/\">embroiled in legal action<\/a> against Tan Huay Lim, lead independent director and chair of the audit and risk committee at the trust\u2019s manager.<\/p>\n<p>Two days after the meeting, the lenders expressed disappointment about the outcome and said they would await a formal response from the manager\u2019s board before embarking on any further discussions in connection with the debt restructuring exercise.<\/p>\n<h3>Court Intrigue<\/h3>\n<p>Dasin Retail Trust has been struggling to reach an agreement with its local and offshore lenders to restructure debt after <a href=\"https:\/\/www.mingtiandi.com\/real-estate\/retail\/china-mall-reit-appoints-financial-advisor-after-missing-payment-on-564m-in-debt\/#\">a series of defaults and repayment extensions<\/a> since exercise with the lenders,\u201d chairman Kong Weipeng said in Thursday\u2019s SGX filing.<\/p>\n<p>Zhang, who formerly served as chairman of the REIT\u2019s manager, on 25 May filed an originating claim before the Singapore High Court alleging that the actions of Tan were \u201coppressive\u201d and\u00a0 \u201cprejudicial\u201d to Zhang.<\/p>\n<p>Zhang asked the court to strip Tan of his directorship seat and to restrain him from further involvement in the trust\u2019s refinancing activities.
